MERCHANT PRICING SCHEDULE

1. Purpose and Scope

This Merchant Pricing Schedule sets out the fees, charges, and settlement principles that apply to merchants using PickSend. It forms part of the PickSend Merchant Agreement. Where this Schedule and the Merchant Agreement address the same matter, the Merchant Agreement governs, except as to the specific fee amounts and calculations set out here, which this Schedule governs.

2. Definitions

Product Value
— the price of the goods set by the merchant when creating an order request, excluding delivery fees, taxes, and payment processing fees.
Successful Delivery
— an order confirmed as delivered through verification of the customer's delivery OTP.
Failed Delivery
— an order in which a parcel was collected from the merchant, could not be completed, and is returned to the merchant.
Failed Order
— an order that ends before any parcel is collected from the merchant.

3. Small Order Surcharge

There is no minimum order value; merchants may create order requests of any amount. A flat Small Order Surcharge of KES 100 applies to any order with a Product Value below KES 1,500. The surcharge is charged to the customer at checkout and disclosed before payment; it does not form part of Merchant Settlement. PickSpot may adjust the surcharge amount or threshold from time to time and will publish the current figures in PickSend.

4. Merchant Service Fee

For each Successful Delivery, PickSpot charges a Merchant Service Fee of 8% of Product Value. The fee is calculated on Product Value only. It does not apply to delivery fees, payment processing fees, or taxes.

Example: Product Value KES 2,000 → Merchant Service Fee KES 160 → Merchant Settlement KES 1,840.

5. Delivery Fees

Delivery fees are determined by the independent third-party delivery service provider and passed through at cost; PickSpot adds no markup. They are charged to the customer at checkout. A merchant does not pay delivery fees on a Successful Delivery.

6. Payment Processing Fees

Payment processing fees are charged to the customer by the licensed third-party payment provider. Merchants are not charged payment processing fees under the standard PickSend pricing model.

7. Merchant Settlement

A merchant becomes eligible for settlement only upon Successful Delivery — upon verification of the customer's delivery OTP.

Merchant Settlement = Product Value − Merchant Service Fee − Adjustments

Adjustments may include Failed Delivery Fees, chargeback recoveries, outstanding balances, and other authorised charges. Delivery fees do not form part of the settlement calculation. Settlements are processed according to PickSpot's settlement schedule.

8. Failed Delivery Fee

A flat Failed Delivery Fee of KES 120 applies to each Failed Delivery — where a parcel has been collected from the merchant and is returned following an unsuccessful delivery. The fee applies regardless of the reason for the failure.

No Failed Delivery Fee applies to a Failed Order — where no parcel was collected from the merchant. In a Failed Order, any customer payment is refunded in full and no merchant charge arises.

9. Collection of Amounts Owed

Failed Delivery Fees, chargeback recoveries, and other amounts owed may be deducted from future settlements or from other amounts payable to the merchant.

10. Chargebacks

Where a customer's payment is reversed after settlement, PickSpot may recover the reversed amount from the merchant in accordance with the Merchant Agreement.

11. Taxes

Merchants are solely responsible for determining, collecting, and remitting any taxes applicable to their products, services, or sales. Fees charged by PickSpot may be subject to applicable taxes where required by law.

12. Changes

PickSpot Network Limited may update this Schedule from time to time. An updated Schedule takes effect upon publication or notification through PickSend.
